Terms and conditions
Proposed terms for the new self-custody payment model.
This text is a draft for the new self-custody payment model. It is not in force until it has been reviewed and approved. Items marked Pending indicate information that must be confirmed before publication.
1. Parties
Owner: Fusion Technologies FZO, a company incorporated in the United Arab Emirates, holding commercial license No. 43448 and with its registered address at Dubai Silicon Oasis, DDP, Building A1, Dubai (UAE). Contact: info@waynance.com · +971 58 502 3174.
Pending Confirm which company owns the website and the new self-custody payment service, the role of each company in the ecosystem, and the registration details that must be published.
2. Services
2.1 Direct crypto payments
The merchant uses the Waynance POS app (Android or iOS) to generate payment requests. The customer pays by scanning a QR code with a compatible wallet or by tapping a compatible Cold Wallet via NFC, where the device, the operating system and the implementation allow it. The customer authorizes the payment from their own wallet. A smart contract distributes the transaction: the corresponding amount goes to the merchant's wallet and the fee goes to Waynance.
2.2 Fiat Bridge (optional)
Waynance facilitates the connection with a licensed third-party provider, which carries out the fiat conversion and settlement in accordance with its own terms, verifications and availability. Waynance does not carry out the conversion. Pending Identity of the provider, licenses and countries in which it operates.
2.3 Shop
The website allows users to prepare order requests for devices. A request is not a purchase: the team confirms availability, final price, shipping, taxes and payment method before accepting the order. Pending Terms of sale, shipping, returns and warranty.
3. Self-custody
In direct payments, Waynance does not hold the funds of the customer or the merchant in custody, nor does it have access to their private keys. Each holder is responsible for their wallet, their keys and their backups. Transactions confirmed on the blockchain generally cannot be reversed. An error in the network, asset or address may result in the loss of funds.
4. Fee
The Waynance fee is applied through the smart contract within the transaction itself. Pending Percentage or amount, networks, and who bears the network costs (gas).
5. Verification
The Fiat Bridge provider applies KYC or KYB as appropriate. Pending Requirements for merchant onboarding and verification at Waynance, and whether checks are applied to payers in direct payments.
6. Availability and compatibility
Networks, assets, wallets, devices, operating systems and NFC features are subject to availability and compatibility. The screens and flows shown on the website are illustrative.
7. Prohibited uses
Waynance may not be used for unlawful activities, fraud, money laundering, terrorist financing, sanctions evasion or activities prohibited by applicable regulations.
8. Payment refunds
Pending How refunds of a payment are handled under the self-custody model.
9. Liability
Waynance shall not be liable for failures of blockchains, wallets or third-party providers, for the volatility of assets, or for errors in the data provided by the merchant or its customers, except in cases where the law does not permit such liability to be excluded.
10. Regulatory framework
Waynance is adapting its service to the applicable regulatory framework, including Regulation (EU) 2023/1114 on markets in crypto-assets (MiCA) where applicable. Self-custody, the use of smart contracts or decentralization do not, in themselves, exclude the application of MiCA or other obligations.
11. Amendments
These terms may be amended with reasonable prior notice via the website, email or the app.
12. Governing law
Pending Law and jurisdiction applicable to the new service.
